These Terms and Conditions ("Terms") constitute a legally binding contract between you and Elite Leader Company for Wholesale Specialty and Health Foods, the company that owns and operates the RIZE platform ("RIZE", "we", "us"), and govern your use of our electronic platform, including the application, website, and associated services ("Service").
By using or accessing the Service, you acknowledge your full agreement to be bound by these Terms. If you do not agree, please do not use the Service.
These Terms and Conditions are issued by the Company and govern the relationship between the Company and its customers in respect of the matters set out below. They are drafted in compliance with the prevailing laws of the State of Kuwait, including, without limitation, Law No. 67 of 1980 promulgating the Civil Code, Law No. 68 of 1980 promulgating the Commercial Code, Law No. 28 of 1996 concerning the regulation of the Company profession and the circulation of medicines, Law No. 39 of 2014 concerning consumer protection and its Executive Regulations, and Circular No. (32) of 2023 issued by the Drug Inspection Administration, Ministry of Health. In the event of any conflict between these Terms and Conditions and any mandatory provision of Kuwaiti law, the latter shall prevail, and the relevant provision herein shall be read and applied so as to conform with it.
1. ABOUT US
RIZE is a platform owned and operated by Elite Leader Company for Wholesale Specialty and Health Foods, a limited liability company established in accordance with the laws of the State of Kuwait, with its headquarters located in the State of Kuwait.
Our mission is to operate an electronic platform that connects users with licensed sellers and facilitates the display and sale of products and services.
Important Notice:
Rize is not a manufacturer of products.
Rize does not provide direct medical services.
Sellers alone are responsible for compliance with health and regulatory laws and regulations in Kuwait.

2. DEFINITIONS
"Sellers" Licensed entities (such as suppliers) approved in accordance with the regulations of the Ministry of Health and Commerce in the State of Kuwait, who provide products approved by the Ministry of Health, and bear full responsibility for them.
"Service Providers" Third parties that support the operation of the platform (payment, delivery, technology, marketing, etc.), and do not provide products or direct medical services to users.
3. DESCRIPTION OF THE SERVICE
Rize provides a digital platform that enables users to access products and services offered by licensed sellers, including:
1. Sale of dietary supplements and health products.
2. Display and provision of products from approved suppliers and enabling their purchase through the application and website.
3. Management of orders, payment processes, and delivery in cooperation with third-party service providers.
Rize's role is limited to intermediation and facilitation only, and we do not bear direct responsibility for services or products.
4. USER ACCOUNT
When creating an account, you agree to:
Provide accurate and up-to-date information.
Maintain the confidentiality of login credentials.
Notify us immediately of any unauthorized use.
We reserve the right to suspend or terminate any account in the event of violation of the Terms or Kuwaiti laws.
5. PURCHASES AND PAYMENT
When making any purchase, you acknowledge that:
You have the legal right to use the payment method.
The information provided is accurate and complete.
We may share limited data with service providers (such as payment and delivery) to complete the order.
Important:
Order confirmation is made upon shipping notification.
The seller's name appears on the invoice.
The seller is the legal party responsible for the product or service.
We reserve the right to cancel any order in the event of:
Pricing error.
Product unavailability.
Suspicion of fraud.
Method of Payment:
All amounts due to the Company in consideration of products or services supplied shall be settled exclusively by bank transfer to the bank account designated by the Company for that purpose.
The Company does not accept, and expressly reserves the right to decline, settlement in cash, whether in whole or in part, for any product or service.
The customer shall retain evidence of the relevant bank transfer (including the transaction reference) until such time as the order has been confirmed as received and finalised by the Company, and shall produce the same upon request in the event of any dispute concerning payment.
This clause is adopted by the Company as an internal commercial policy for the management of its payment operations and is implemented in a manner consistent with the banking and commercial regulations applicable within the State of Kuwait, and without prejudice to any right of the customer under the Consumer Protection Law (No. 39 of 2014) and its Executive Regulations.
6. AVAILABILITY AND ACCURACY
The platform may contain errors or outdated information.
We reserve the right to modify or update information at any time.
In the event of an error after the order, you will be notified with the option to modify or cancel.
7. HEALTH DISCLAIMER
All information and services provided through Rize are for awareness purposes only and do not constitute:
Medical diagnosis.
Treatment.
A substitute for medical consultation.
Rize does not provide medical services.
Any consultation or recommendation issued by sellers is under their full responsibility.
8. PRODUCT LIABILITY
All products and services provided through the platform:
Are the responsibility of the seller or manufacturer.
Rize bears no responsibility for:
Quality.
Safety.
Returns or refunds.
Regulatory compliance.
9. OWNERSHIP AND TRANSFER OF RISK
Ownership of the product is transferred to you upon:
Full payment; or
Receipt (whichever is later).
Risk is transferred upon delivery.
10. RETURNS, EXCHANGE & REFUND POLICY
Returns, exchanges, and refunds are handled in accordance with Consumer Protection Law No. 39 of 2014 of the State of Kuwait and its executive regulations, taking into account the nature of the health and food products offered through the platform. The seller remains the party legally responsible for the product, and RIZE facilitates the returns process between you and the seller.
Eligible for return or exchange:
You may request a return, exchange, or refund if the product:
Is defective, damaged, or expired upon receipt;
Does not match the description or specifications shown on the platform; or
Is incorrect or incomplete compared to your order.
Conditions:
To be accepted, a return request must:
Be submitted within [7] days from the date of receipt;
Concern a product that is unused and in its original, unopened packaging (except where the product is defective, damaged, or expired); and
Be accompanied by the invoice or proof of purchase.
Non-returnable items:
For health and hygiene reasons, the following are not eligible for return or exchange unless defective, damaged, expired, or incorrect:
Dietary supplements, food products, and other consumables once opened or with a broken seal;
Products with a short shelf life or special storage requirements; and
Items marked as final-sale or special-order at the time of purchase.
Refunds:
Where a refund is due:
It is issued to the original payment method;
It is processed within [14] days after the returned product is received and inspected; and
Shipping fees are non-refundable, except where the return is due to an error by RIZE or the seller (a defective, damaged, expired, or incorrect product), in which case return shipping is borne by the seller.
Nothing in this policy limits any mandatory rights granted to you as a consumer under the applicable laws of the State of Kuwait.
Subject to the express exception set out below, the Company's general returns and exchange policy shall apply to all retail merchandise sold by the Company, in accordance with the conditions, time limits, and procedures prescribed under that policy and consistently with the applicable provisions of Law No. 39 of 2014 concerning consumer protection and its Executive Regulations.
Notwithstanding the foregoing, medicines and food supplements shall, once dispensed or sold to a customer, be non-returnable and non-exchangeable in all circumstances. This exception is mandated by Circular No. (32) of 2023 issued by the Drug Inspection Administration, Ministry of Health, State of Kuwait, pursuant to Law No. 28 of 1996 concerning the regulation of the Company profession and the circulation of medicines and its Executive Regulations.
The foregoing restriction reflects a binding regulatory requirement designed to safeguard the health and safety of patients and to preserve the integrity and quality of medicines and food supplements following their dispensing. It is accordingly of mandatory application, is not subject to waiver, variation, or override by agreement between the Company and any customer, and shall prevail over any contrary request, representation, or course of dealing.
Nothing in this clause shall be construed as derogating from any right or remedy available to a customer under Law No. 39 of 2014 in respect of merchandise other than dispensed medicines and food supplements.
11. INTELLECTUAL PROPERTY
All platform rights (design, content, programming) are owned by Elite Leader Company for Wholesale Specialty and Health Foods, the operator of the RIZE platform.
The trademark or content may not be used without written consent.
Users shall not copy, modify, reproduce, distribute, reverse engineer, decompile, create derivative works from, exploit or commercially use any part of the Platform or its intellectual property without the Company's prior written consent.
12. TERMINATION
We may suspend or terminate your account at any time upon violation of the Terms.
The Company may, at its sole discretion and without prior notice, suspend, restrict or terminate any Account where it reasonably believes that the User has breached these Terms, engaged in fraudulent, unlawful or abusive conduct, created legal or regulatory risk, or where such action is necessary to protect the Company's legitimate interests or comply with applicable law.
13. NO WARRANTY
The Service is provided "as is" and "as available", without any express or implied warranties, including:
Continuity.
Accuracy.
Security.
14. LIMITATION OF LIABILITY
Rize shall not bear any responsibility for indirect damages or those resulting from:
Use of the Service.
Errors by third parties.
Sellers' content or services.
Rize shall not bear any responsibility for how the second party uses the product that has been purchased.
Nothing in these Terms shall exclude or limit liability arising from fraud, wilful misconduct, gross negligence, or any liability that cannot be excluded or limited under the mandatory laws of the State of Kuwait. Subject to the foregoing, the Company's aggregate liability arising out of or in connection with these Terms shall not exceed the total value of the transactions giving rise to the relevant claim during the preceding twelve (12) months.
15. INDEMNIFICATION
You agree to indemnify Rize against any claims or damages resulting from:
Your use of the Service.
Your violation of these Terms.
The User shall indemnify, defend and hold harmless the Company, its affiliates, directors, officers and employees from and against all claims, liabilities, losses, damages, fines, penalties, costs and reasonable legal expenses arising out of or relating to the User's breach of these Terms, misuse of the Platform, violation of applicable law or infringement of any third-party rights.
16. MODIFICATIONS
Rize may amend these Terms at any time, and the amendments become effective upon publication.
Your continued use of the Service constitutes your acceptance of the amendments.
The Company reserves the right to amend these Terms from time to time. Any amendments shall become effective upon publication on the Platform or notification to Users. Continued use of the Services following such publication or notification shall constitute acceptance of the amended Terms.
17. GOVERNING LAW
These Terms shall be governed and interpreted in accordance with the laws of the State of Kuwait.
The courts of the State of Kuwait shall have exclusive jurisdiction to consider any dispute arising from or related to these Terms.
These Terms shall be governed by and construed in accordance with the laws of the State of Kuwait. The courts of Kuwait shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms.
18. GENERAL PROVISIONS
These Terms do not create any partnership or agency relationship.
Rize has the right to assign its rights to affiliated companies.
If any provision is deemed invalid, the remaining provisions shall remain in force.
19. PERSONAL DATA PROCESSING
The Company shall collect, process, store and transfer personal data only to the extent necessary for providing the Services, complying with legal obligations, preventing fraud and improving the Platform, in accordance with the applicable laws of the State of Kuwait.
20. DISCLAIMER REGARDING THIRD-PARTY SERVICES
Products, services and rewards offered by participating merchants remain the sole responsibility of the relevant merchant. The Company acts solely as a technology platform facilitating access to such offers and shall not be liable for the quality, availability, performance or fulfilment of any third-party products or services.
21. FORCE MAJEURE
Neither Party shall be liable for any delay or failure to perform its obligations resulting from events beyond its reasonable control, including acts of God, governmental actions, cyber-attacks, telecommunications failures, internet outages, system failures, pandemics, labour disputes or any other force majeure event.
22. CONSUMER PROTECTION COMPLIANCE
Nothing contained in these Terms shall prejudice or limit any mandatory rights afforded to consumers under the applicable laws of the State of Kuwait. Any provision inconsistent with mandatory legal requirements shall be interpreted and applied to the extent permitted by law.
